Introduction

• Welcome to CodingKraft. These Terms and Conditions ("Agreement") govern your participation as an educator on our platform. By registering and participating, you agree to comply with and be bound by these terms. CodingKraft is a subsidiary of CODEMASTERS EDTECH LLP, registered in Pune, Maharashtra.

Eligibility

• To participate as an educator on CodingKraft and receive customized game content, you must guarantee a total enrollment of students as stipulated in your agreement with CodingKraft. Customized content will be tailored to the educators who can ensure this level of student enrollment.

Enrollment and Commission

• Commission Payment: Educators will receive a one-time commission for each student enrolled for the first month only.
• Minimum Earnings: Commissions will only be paid once an educator earns a minimum of $100.
• Payment Schedule: Commission payments will be made 45 days after the student’s enrollment to ensure that the student continues the subscription post-trial.
• Disputes Over Students: In the event of two educators claiming commission for the same student, the commission will be awarded to the educator who first enrolled the student.

Content Customization

• Customization: Educators are allowed to customize the coding games to fit their curriculum and their students' learning levels, provided they meet the enrollment guarantee.
• Usage: Customized content is solely for the use of the enrolled students under the educator's supervision and may not be distributed or used outside the agreed terms.

Monitoring and Tracking

• Tracking Tools: Educators can track student performance using the tools provided by CodingKraft. These tools allow monitoring of progress and adjustment of teaching strategies as necessary.

Disputes and Jurisdiction

• Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India.
• Jurisdiction: All disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Payments and Taxes

• Commission Calculation: Commissions are calculated based on the number of students who remain subscribed after the initial trial period.
• Tax Obligations: Educators are responsible for their own tax obligations on any commissions received from CodingKraft.

Termination

• Termination by CodingKraft: CodingKraft reserves the right to terminate or suspend your educator account at any time if you violate these terms or engage in any fraudulent activities.
• Termination by Educator: Educators may terminate their participation by providing written notice to CodingKraft, subject to the completion of any outstanding obligations.
• Effect of Termination: Upon termination, all licenses granted to you will terminate immediately, and you must cease all use of the CodingKraft platform and return or destroy all proprietary materials in your possession.

Limitation of Liability

• CodingKraft shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your participation in the program, even if advised of the possibility of such damages.

Amendments

• CodingKraft reserves the right to amend these terms at any time. Significant changes will be communicated via email or through the platform.

Confidentiality

• Confidential Information: You agree to maintain the confidentiality of any proprietary information received during your participation in CodingKraft.
• Non-Disclosure: You shall not disclose any confidential information to any third party without prior written consent from CodingKraft.

Intellectual Property

• Ownership: CodingKraft retains all rights, title, and interest in its trademarks, logos, content, and other intellectual property.
• License: Educators are granted a limited, non-exclusive, non-transferable license to use CodingKraft’s content and tools solely for the purpose of providing coding education to enrolled students.

Representations and Warranties

• You represent and warrant that you have the authority to enter into this Agreement and fulfill your obligations under these terms.

Indemnification

• You agree to indemnify, defend, and hold harmless CodingKraft, CODEMASTERS EDTECH LLP, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses arising out of or in connection with your participation in the program.

Miscellaneous

• Entire Agreement: This Agreement constitutes the entire agreement between you and CodingKraft regarding your participation as an educator and supersedes all prior agreements and understandings.
• Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• No Waiver: The failure of CodingKraft to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
• Force Majeure: CodingKraft shall not be liable for any failure or delay in performing its obligations under this Agreement due to any cause beyond its reasonable control, including but not limited to acts of God, war, strikes, or labor disputes

Compliance with Laws

• Educators shall comply with all applicable laws, regulations, and guidelines in the performance of their obligations under this Agreement.
